Estate Planning /Asset Protection

Mr. Glick assists clients in developing and implementing practical and cost-effective strategies to ensure that their financial affairs are managed in the event of disability and that their estate is distributed in accordance with their wishes upon death. Mr. Glick designs legal documents such as Revocable Living Trusts, Last Will and Testaments, Durable Powers of Attorney, and Patient Advocate Designations which together form a comprehensive plan to achieve a client’s estate planning objectives which often include: appointing guardians for minor children; avoiding probate court; minimizing or avoiding estate taxes, gift taxes, capital gains taxes, and income taxes; appointing key people such as successor trustees, personal representatives, agents, patient advocates, and guardians to handle affairs and make medical decisions; ensuring medical wishes are carried out; protecting and keeping businesses, cottages, and other assets in the family; providing for beneficiaries with “special needs” while not disqualifying them from state or federal benefits that they may be receiving or from special programs in which they may be participating, etc. Mr. Glick also assists clients with all aspects of the administration of trusts following the death of the Settlor, from information gathering, to tax compliance, providing accountings, providing notices to beneficiaries, creditors, and other third-parties, and ultimately, to the distribution of trust assets.  Buy-sell agreements are often recommended to business establishments with multiple owners to ensure orderly succession of ownership and fair compensation to the estate of the deceased or withdrawing shareholder or partner. Mr. Glick often works closely with client’s CPAs or financial planners, and, can recommend such advisors to those clients in need of or desiring these services.


Corporate Law / Business Matters

Mr. Glick assists clients in all phases of the business lifecycle from the creation of new businesses, through the purchase and sale of businesses, business assets, or business ownership interests, to business dissolutions. Mr. Glick counsels and advises new and start-up businesses on the proper choice of entity and business structure based on criteria such as the nature of the proposed business, expected income, number of owners, etc., then assists clients with the preparation of organizational documents, e.g., Articles, Federal, State, and local applications and registrations, etc., and operational documents, e.g., Bylaws, Operating Agreements, Buy-Sell Agreements, stock certificates, shareholder and board of director meeting minutes, etc. Mr. Glick assists clients with the purchase and sale of businesses by making inquiries and investigation and by drafting documents that ensure a smooth transaction and that a purchaser of a business or a businesses’ assets receives what he or she has bargained and contracted for and that a seller of a business or a businesses’ assets timely receives the agreed upon purchase price. Mr. Glick represents clients involved in businesses with multiple owners with shareholder disputes and the transfer of ownership interests to ensure orderly succession of ownership and fair compensation to the selling, withdrawing, or retiring shareholder or partner or to the estate of the deceased shareholder or partner. Mr. Glick also assists clients with general business matters and transactional matters such as negotiating and drafting contracts, leases, and other business documents, assisting clients to comply with various state and federal laws affecting their industry, and, for businesses involved in the construction industry, preparing construction liens and lien related documents.


Litigation & Collections

For those matters that cannot be resolved through negotiation or other forms of non-judicial resolution, Mr. Glick is experienced in representing clients in the prosecution and defense of civil commercial cases in state and federal courts. Mr. Glick is an experienced trial attorney and assists clients in contract disputes, employment law matters, insurance claims, debt collection, and business torts including breach of non-compete covenants, unfair competition, real estate matters, sales representative claims, construction and construction lien foreclosure matters, defamation actions, etc.  Mr. Glick is frequently requested by clients to assist them in either initiating or defending actions in these fields.


Construction Law

Mr. Glick assists property owners, contractors, subcontractors, material providers, equipment providers, suppliers, laborers, and other individuals and businesses involved in the construction industry with; contract drafting, construction disputes, construction litigation, construction liens, construction lien foreclosures/challenges, breach of contract, negligence and other matters including protecting and preserving their rights under the Michigan Construction Lien Act.  Mr. Glick assists clients in developing and drafting contracts, proposals, bids, and other business documents that comply with the various and rigorous requirements of the Michigan Construction Lien Act to ensure that the client may avail itself of the Michigan Construction Lien Act if necessary. Mr. Glick also assists clients with the various documents required under the Michigan Construction Lien Act such as Notices of Commencement, Notices of Furnishing, Proofs of Service, Claims of Lien, Sworn Statements, Waivers, etc. For those matters that cannot be resolved through the filing of a Construction Lien, Mr. Glick represents clients in construction lien foreclosure actions and related civil actions in state and federal courts.  Mr. Glick also represents property owners when services are not provided or not provided properly, when the Michigan Construction Lien Act is violated, when the Michigan Builders Trust Fund Act is violated, etc.


Probate Court Representation

Mr. Glick assists clients in obtaining, modifying, and terminating conservatorships and guardianships. Mr. Glick also assists clients in the administration, settlement, and distribution of decedents’ estates. For those matters that cannot be resolved by negotiation or other forms of non-judicial resolution Mr. Glick represents beneficiaries, devisees, heirs at law and other interested parties in enforcing their legal rights under a decedent’s trust,


Real Estate & Landlord-Tenant Law

Mr. Glick has extensive experience in representing developers, lenders and investors with respect to the purchase, sale, construction, financing and operation of commercial and residential projects throughout the United States. As counsel to several malls, residential apartment developers, property managers, and business tenants, he is experienced in negotiating, drafting and litigating residential and commercial and landlord-tenant issues in the courts and in arbitration.  Representation includes not only negotiation and preparation of necessary real estate purchase and sale documents, but also the representation of developers before local zoning boards, government agencies and lending institutions. Mr. Glick has also represented numerous clients for loan workouts, foreclosure actions, construction design claim prosecution and defense, as well as construction lien claim representation for lenders, owners, and contractors.  Mr. Glick also represents condominium and homeowner associations with liens and other matters.  Mr. Glick also assists real property buyers and sellers and landlords and tenants including drafting and reviewing purchase and sale documents and drafting, reviewing, and negotiating residential and commercial lease documents.


Family Law

Mr. Glick represents clients in family law issues ranging from the inception of the marital relationship through post-judgment relief.  Mr. Glick zealously represents clients in areas including, but not limited to, pre and post-nuptial agreements, divorce, annulment, child custody actions, child support and parenting time disputes, spousal support (alimony), property division, the division of retirement benefits (QDRO’s and EDRO’s), modification of judgment and other post-judgment relief, paternity actions, and personal protection orders.

Arbitration & Alternative Dispute Resolution

In addition to offering traditional litigation services, Mr. Glick is experienced in participating in various types of alternative dispute resolution forums, including facilitation, mediation and arbitration. Mr. Glick understands that while litigation is appropriate for resolving many disputes, due to time and expense constraints, many cases properly lend themselves to alternative dispute resolution procedures that may lead to more expeditious results at less expense and inconvenience. In addition to the role as an advocate, Mr. Glick serves as arbitrator in complex commercial and employment arbitrations before the American Arbitration Association (AAA). As a result, Mr. Glick is better able to represent clients before individual arbitrators, mediators, facilitators, and similar panels.
